Sell-side readiness

Fix the vendorbase beforethe buyer finds it.

A fixed-fee clean-up of the vendor and cost base before a company goes to market. Savings show up in run-rate EBITDA, and the evidence is ready for the buyer’s diligence team.

Buyers price what they find.

Overpriced contracts, auto-renewals, duplicate software and agency fees nobody has benchmarked all surface in diligence. Either they lower the number, or they become a story the buyer tells about how the business is run.

Fixed before the process, the same findings are yours: savings in the run rate, contracts with clean terms, and a vendor story that holds up under questions. Read the full argument.

How it runs
01
Two to three weeks

Vendor read

Contracts and payables across agencies, media, software, cloud, telecom and services, ranked by recoverable value and by diligence risk.

02
Before the data room

Capture

Renegotiate what can close in time. Document the rest as signed or in progress, with the dates and values.

03
Before launch

Evidence

Savings documented to invoice level, in the form a quality-of-earnings provider and a buyer’s team will test.

04
During the process

Diligence support

Answers to vendor and contract questions from the buyer’s advisors, fast and consistent.

What we do not do.

We do not run the quality of earnings and we do not advise on the sale. We make sure the vendor and cost story inside them holds up, and we work alongside the sell-side advisor and the accountants.

Common questions

Straight answers.

How far ahead of a sale should this start?

Six to twelve months before launch is best, because savings need time to show in trailing numbers. With less time, it still helps on contract terms and on the evidence.

Who hires you for this?

The sponsor, the company, or the sell-side advisor on the company’s behalf.

Is it fixed fee?

Yes, the vendor read and evidence work are fixed fee. Negotiations can run partly on savings above a baseline agreed up front.

Going to market in the next year?

Fifteen minutes. We will tell you what a buyer’s team is likely to find in the vendor base.
